1. MyFoneThemes.com is a service provided by MRM Studios Inc. Usage of this Service constitutes acceptance of the terms and conditions stated in this agreement. If you, the customer, does not agree to the terms and conditions and notices under this agreement, you may not use this Service. MRM Studios reserves the right to modify this agreement at any time without notice. Modifications, changes and notices are immediately effective upon posting in this site. Continued use of this Service indicates your acceptance of these modifications in the agreement and your knowledge of these modifications, changes and notices.

2. You must be 13 years old or older to use this Service. If you are 13 years old and above but below 18 years old, you must review these terms and conditions with your parent or guardian to be sure that you and your parent or guardian understand these terms and conditions.

3. MRM Studios provides this Service on an “as is, where is” basis and does not make any warranties, express or implied, representations or endorsements with regard to the services, merchants, or products offered in this Service.

4. In providing images or photographs to MyFoneThemes.com for conversion into phone themes, you agree that MyFoneThemes.com and its provider, MRM Studios Inc., is an independent contractor. This Agreement does not constitute any partnership, employer-employee relationship, or joint venture with you. You hereby warrant that you have the required permission, licenses, or ownership rights to the images or photographs and/or accompanying text and that you hold MRM Studios Inc. free and harmless from any suit alleging infringement of intellectual property rights. You warrant that the use of this service is for permissible and legal use only.

5. You hereby grant MRM Studios Inc. the right to edit, modify, alter, or adapt your image or photographs in order to convert them into phone themes.

6. MRM Studios Inc., acting as an independent contractor for hire in converting your images and photographs into phone themes, does not claim ownership or interest in the phone themes delivered to you from the photographs or images supplied by you, unless MRM remains unpaid, in which case, MRM Studios Inc. shall have a lien on your phone theme file as an unpaid contractor.

7. All other images, web site elements, ready made phone theme files, other than those supplied by you, belong to MRM Studios Inc. and are its intellectual property. All rights not specifically granted under this agreement are reserved by MRM Studios Inc.

a. For the Free phone themes under its free phone theme section, ownership over those phone themes and phone theme files remain with MRM Studios Inc. However, MRM Studios Inc. hereby grants to you an unrestricted license to use, reproduce, transfer, or forward the phone theme to any computer, handheld device, mobile phone, or wireless device on the condition that ownership by MyFoneThemes.com.com or MRM Studios is properly acknowledged. The unrestricted license is for personal, non-commercial use only.

b. For ready made phone themes other than the “free phone themes” and other mobile content, such as ring tones, that MRM Studios gives you, if you purchase a license to use the phone theme file or mobile content into your phone, a limited, non-exclusive, non-transferable right to install and use the phone theme file or mobile content into a single handheld or mobile device. You may not reproduce, copy or distribute by any means, method, or process, any of the phone themes and/or mobile content on this site. You may not sub-license, alter, modify, make derivative works from or sell any of the phone themes and/or mobile content obtained from this service.

8.  MRM Studios Inc. disclaims all warranties and representation, whether express, implied, or otherwise, including the warranties of merchantability or fitness for a particular purpose. MRM Studios Inc. does not warrant that the content is error-free and will operate without interruption.

9. You are solely responsible for your password and the confidentiality of your account and that MRM Studios Inc. cannot be held responsible for any unauthorized use of your password or unauthorized use of your account.

10. If you post, submit, or upload any information and/or content into the site's chat board or other publicly viewable portion of the site, you give MRM Studios Inc. the right to edit, translate, reproduce, publicly perform, copy, and distribute your content or comment. MRM Studios Inc. is under no obligation to post or input your submission and it may remove any of your content at any time. MRM Studios Inc. is under no obligation to pay you compensation for the posting or uploading of your comment and/or content. You give MyFoneThemes.com and MRM Studios Inc. a universal, royalty-free, non-exclusive license to use such materials as part of this service.

11. MRM Studios Inc. reserves the right to reject any usage of this Service for any reason whatsoever, including use of the Service for internationally accepted illegal or unlawful means, subversion and other illegal or unlawful activities.

12. The price of any product purchased through the service will be the price specified in the service at the time of the purchase. However, MRM Studios reserves the right to change the price of any product or information at any time.

a.  Payment may be made via MasterCard, Visa, American Express, JCB, and other credit or debit cards that MRM Studios, MyFoneThemes.com and its partner payment gateway may identify and allow to be used in its payment system. Upon purchase by credit or debit card, you warrant that you are the cardholder or have the permission of the cardholder to use the cards and that the billing information is accurate. MRM Studios will not issue refunds based upon inaccuracies represented by you.

b. You shall be responsible for paying your mobile carrier network's charges for accessing the MyFoneThemes.com WAP site and for downloading themes from MyFoneThemes.com through its WAP website.

13. MRM Studios Inc. reserves the right to change, suspend, remove, or disable access to any mobile phone theme, content or materials comprising a part of the service at any time without notice. In no event will MRM Studios Inc. be held liable for the removal of any content or features of the service under this Agreement.

14. In no event shall MRM Studios Inc., its officers, director, employees, contractors, affiliates, suppliers, subsidiaries or agents be held liable for any direct, indirect, punitive, special, and incidental damages whatsoever arising out of or in any way connected with the use or performance of the MyFoneThemes.com Site/Service.

15. Certain content, products or services may be advertised or made available through the MyFoneThemes.com site. In addition, MyFoneThemes.com may provide links to other third party websites. You agree that MyFoneThemes.com is not responsible for examining or evaluating the content or accuracy of any such third party material or web sites. MyFoneThemes.com and its operator, MRM Studios Inc., does not endorse nor assume any liability or responsibility for any third party materials or websites.

16. You hold MRM Studios free from any liability with respect to disclosure of any information that is compelled by the competent court within its jurisdiction.

17. This Service is controlled and operated by MRM Studios Inc. from its offices in the Philippines . This agreement shall be governed by the laws of the Republic of the Philippines. You irrevocably consent to the exclusive jurisdiction and venue of the courts in Makati City, Philippines in all disputes arising out of or relating to the use of this service.
